JOB DESCRIPTION

Although Pinnacle Solutions is widely known for developing and delivering state-of-the-art training and simulation products and services, today we offer so much more. For over 13 years, we have also provided aviation maintenance and operations services; aircraft modernization and sales; engineering, development, and light manufacturing; and technical publications development for domestic and international customers. The Board will support Pinnacle and provide mission-based leadership and strategic governance. While day-to-day operations are led by Pinnacle’s Chief Executive Officer, Mike Durant, the Board-CEO relationship is a partnership, and the appropriate involvement of the Board is both critical and expected. Specific board member responsibilities include:

Leadership, governance, and oversight:
• Serving as a trusted advisor to the CEO as he develops and implements Pinnacle’s strategic plan. 
• Reviewing outcomes and metrics created by Pinnacle for evaluating impact, and regularly measuring its performance and effectiveness using those metrics. 
• Reviewing agenda and supporting materials prior to board and committee meetings. 
• Advising on budgets, audits, and material business decisions. 
• Contributing to an annual performance evaluation of the CEO. 
• Partnering with the CEO and other board members to ensure that board resolutions are carried out. 
• Serving on committees and taking special assignments. 
• Representing Pinnacle to stakeholders and acting as an ambassador for the company, fully engaging in identifying and securing the resources and partnerships necessary for success. 
• Leveraging connections, networks, and resources to develop collective action and fully achieve Pinnacle’s mission. 
• Strategic and organizational planning. 
• Ensuring strong fiduciary oversight and financial management. 
• Approving and monitoring executive compensation. 

Board Terms/Participation:
Pinnacle’s board members will serve a two-year term to be eligible for reappointment for one additional consecutive term. Board meetings will be held quarterly, and committee meetings will be held in coordination with full board members. 

SKILLS/EXPERIENCE REQUIREMENTS:

This is an extraordinary opportunity for individuals who are passionate about Pinnacle’s mission and who have track records of board leadership. Selected Board Members will have achieved leadership stature in business, government, or other related sectors. Ideal candidates will have the following qualifications: 
• Extensive professional experience with significant executive leadership accomplishments in defense-related business, government, or other related sectors. 
• A commitment to and understanding of Pinnacle’s stakeholders, preferably based on past or current associations with the organizations. 
• Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals. 
• Personalization of Pinnacle’s principles and values. 
• Executive level experience with Employee Stock Option Plans, Government contracting, high-level financial literacy, and compensation will be most heavily considered. 

EDUCATION REQUIREMENTS

HS Diploma or equivalent required.
